All documents, signatures, and procedures are legally recognized and accepted by the commercial register.

No, the founders of a company do not have to appear in person. Founders can verify their identities digitally with our integrated digital identification service DeepID. They can also sign all documents digitally with a qualified electronic signature (QES is a legal equivalent to a handwritten signature according to Swiss and EU law) from our integrated digital signature service DeepSign. Thanks to these fully digital processes, there is no need to appear before a notary public in person.

The notary verifies that the incorporation documents meet the requirements of the law and the canton where the company will be established. This reduces the likelihood of a denial for incorporation of the company by that canton’s commercial register.

The company incorporation process might get delayed if you fail to meet the legal requirements to establish a company, and or if there are delays in receiving confirmation of the capital payment.

Yes. Foreign individuals can incorporate a Swiss company, but at least one Swiss resident director or authorized signatory is still required.

To incorporate a company with Hoop, it’s necessary to have a qualified electronic signature (QES). Please note that it is not possible to have a QES for residents outside Switzerland and the EU as they are not authorised to sign in accordance with eIDAS or ZertES. Due to these certificate issuing requirements, this option is unfortunately unavailable to those residents.

To incorporate a company with Hoop, you must meet the requirements for signing with a qualified electronic signature (QES), which include digital identification (made possible through our DeepID service). To verify your identification, you must use an ID document that has an MRZ (machine-readable zone) and your signature must be visible on the document page.

Here is a list of accepted documents.

The Lex Koller declaration is a legal statement related to Swiss regulations that restrict foreign ownership of certain types of real estate. It confirms whether a company is allowed to acquire real estate in Switzerland under these rules.

Currently, Hoop does not support the automatic creation of the Lex Koller declaration. Therefore, if this declaration is necessary for the constitution of the company, it will be manually prepared by a Hoop employee and sent to the relevant parties for signing.

Hoop works with trusted Swiss partners to ensure a fully digital, secure, and legally compliant incorporation process.

  • DeepBox: A secure, cloud-based document platform where all your incorporation documents are stored and shared. It is ISO 27001:2013 certified and hosted in Switzerland.
  • DeepSign: A qualified electronic signature (QES) solution that allows you to sign incorporation documents digitally. This type of signature is legally equivalent to a handwritten signature in Switzerland.
  • Yapeal (capital deposit account): A Swiss financial services provider used to handle your share capital during incorporation. It allows you to open a capital deposit account in minutes, helping to significantly speed up the process. After incorporation, you are free to transfer your capital to any other Swiss bank. Transfers to external accounts are generally possible, but in some cases (e.g., transfer to Revolut), additional compliance checks may apply and may result in higher fees.
  • No US persons may be involved (neither account holder, founder, nor beneficial owner).
  • No founders or funds from FATF black- or grey-listed countries.
  • No incorporations with more than 10 founders (“Crowd Investing”).
